1. Acceptance of Terms

By accessing or using Expensicat.com ("Service"), you agree to be bound by these Terms and our Privacy Policy; if you do not agree, do not use the Service.

2. Parties & Eligibility

• Parties: These Terms are between you and QuickBits OÜ (registry code: 16725805, registered at Sääse 14-40, 12918, Tallinn, Estonia).
• Eligibility: You must be at least 18 years old and capable of forming binding contracts. Accounts for under-18s will be terminated.

3. Account Registration

To access certain features, you must register and provide accurate, complete information and keep it updated. You are responsible for safeguarding your credentials and for notifying us of any unauthorized use.

4. License Grant

Subject to these Terms, QuickBits OÜ grants you a limited, non-exclusive, non-transferable license to use the Service for internal business purposes.

5. User Content

You retain ownership of the content you submit. You grant QuickBits OÜ a non-exclusive, royalty-free, worldwide license to host, process, and display it solely to operate and improve the Service. You warrant that you own or control all rights to the content you submit.

6. AI Features

The Service includes AI-powered features, including the assistant "Cat", receipt transcription, and automated insights. These outputs may be inaccurate or incomplete and are provided for convenience only. They do not constitute financial, tax, accounting, or legal advice, and you remain responsible for reviewing them and for any decisions you make. See our Privacy Policy for how data is processed by AI providers.

7. Acceptable Use

You agree not to violate laws or third-party rights, transmit malware or spam, reverse engineer the Service, or interfere with its security or others' access. These and further restrictions are set out in full in our Acceptable Use Policy, which forms part of these Terms.

8. Fees and Billing

Use of paid features requires payment of subscription or usage fees as described on our Pricing page. Fees may change with 30 days' notice. Fees are non-refundable except where required by law; cancellations take effect at the end of the paid term.

9. Termination and Data Export

We may suspend or terminate your access for a material breach of these Terms. You may cancel at any time. For 30 days after termination, you may export your data from the Service; after that period, we will delete it in line with our Privacy Policy, except where retention is required by law.

10. Disclaimers

The Service is provided "as-is" and "as-available," without warranties of any kind, express or implied. We do not warrant uninterrupted or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law, QuickBits OÜ shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total liability shall not exceed the fees you paid in the 12 months preceding the claim. Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify and hold QuickBits OÜ and its affiliates harmless from claims, losses, liabilities, and expenses arising from your breach of these Terms or misuse of the Service.

13. Changes to These Terms

We may modify these Terms. For material changes, we will provide at least 30 days' notice by email or in-app alert before they take effect. Your continued use after that period constitutes acceptance.

14. General

• Data Protection: Our handling of Personal Data is described in the Privacy Policy; business customers are additionally covered by our Data Processing Addendum.
• Entire Agreement: These Terms, the Privacy Policy, and the Acceptable Use Policy are the entire agreement between you and us regarding the Service.
• Severability: If any provision is unenforceable, the remaining provisions stay in effect.
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force Majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control.
• Waiver: Failure to enforce a provision is not a waiver of it.
• Notices: We may provide notices by email or in-app; you may reach us at [email protected].

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Estonia. Disputes shall be resolved exclusively in the courts of Harju County, Estonia.
